Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of CertLeads.com and related services ("CertLeads", the "Service"). By creating an account, purchasing a subscription or one-time export, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case "you" refers to that entity.

2. Service description

CertLeads is a business-to-business (B2B) data service. We surface newly-launched business websites and provide associated public metadata, SEO signals, and business contact information for sales and marketing professionals.

The Service is intended only for legitimate B2B outreach, market research, and competitive intelligence. The Service is not for personal, household, or consumer use, and may not be used to target individuals in their personal capacity.

3. Accounts & eligibility

• You must be at least 18 years old and able to form a binding contract.
• You must provide accurate, current information when registering, and keep it current.
• You are responsible for all activity under your account and for keeping your password secure. Notify us immediately at legal@certleads.com of any unauthorized use.
• One person or entity per account, unless you are on a team plan.

4. User obligations & outreach laws

You are solely responsible for how you contact the businesses surfaced through CertLeads. Different jurisdictions impose different obligations on senders of commercial email and other outreach, and these obligations flow down to you as the sender.

By using the Service, you agree that for any email or message you send using data obtained from CertLeads, you will:

• Include a clear and functional unsubscribe mechanism in every commercial email, and honor unsubscribe requests promptly.
• Use accurate sender information — "From", "To", "Reply-To", and routing information must identify the actual sender.
• Use non-deceptive subject lines that accurately reflect the content of the message.
• Include a valid physical postal address in every commercial email.
• Comply with all applicable laws, including (without limitation) the U.S. CAN-SPAM Act, Canada's Anti-Spam Legislation (CASL), Australia's Spam Act 2003, and any other anti-spam, telemarketing, privacy, or data-protection laws that apply to your outreach.
• Honor any opt-out, do-not-contact, or unsubscribe signal communicated to you, regardless of how received.
• Suppress and not re-contact any address you have previously been asked to remove.

CertLeads is the data provider, not the sender. We do not, and cannot, police your individual outreach. Compliance is your obligation, and violations may result in immediate termination under Section 12.

5. Prohibited uses

You may not, and may not permit any third party to:

• Resell, redistribute, sublicense, or republish raw lead data obtained from CertLeads, in whole or in substantial part. Use of the data inside a workflow or CRM for your own outreach is permitted; repackaging it as a competing product is not.
• Send spam, run mass unsolicited campaigns that violate applicable law, or send malicious, deceptive, or fraudulent messages.
• Harass, threaten, defame, or otherwise harm any business or individual identified through the Service.
• Use the Service to compile a directory, database, or list for resale or for use as a competing data product.
• Scrape, copy, or otherwise extract data from the Service except through the official API or export features available on your plan.
• Reverse engineer, decompile, or attempt to derive source code from the Service.
• Circumvent reveal quotas, rate limits, or other technical protections.
• Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure or interfere with any other party's use.
• Use the data in connection with any decision that has legal or similarly significant effects on a person (employment, credit, insurance, housing).

6. Subscription, billing & refunds

Subscription plans renew automatically at the end of each billing cycle (monthly or annual) until canceled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current paid period and you retain access until then.

Refund policy:

• Monthly subscriptions — 14-day money-back on your first ever subscription to Pro or Enterprise. Email legal@certleads.com to request. No questions asked.
• Annual subscriptions — 30-day money-back on your first ever annual subscription. After 30 days, refunds are prorated only in the case of an in-life service dispute.
• Domain Feed — 14-day money-back on your first ever subscription.
• One-time CSV exports — non-refundable once the download link has been generated and emailed. If the link was never generated due to a bug, full refund.
• AppSumo lifetime deals — follow AppSumo's refund policy (typically 60 days).
• Chargebacks — any chargeback automatically suspends the account pending investigation.

Prices are exclusive of taxes unless stated otherwise. You are responsible for any sales tax, VAT, or similar tax that applies in your jurisdiction.

We may change pricing or plan features at any time, but changes will not apply retroactively to your current paid period and you will receive at least 30 days' notice for material changes affecting your plan.

7. Intellectual property

The Service, including the website, the underlying database structure, APIs, software, and brand, is owned by CertLeads and is protected by intellectual-property laws. We grant you a limited, revocable, non- exclusive, non-transferable license to use the Service in accordance with these Terms.

Lead data license. Subject to your continued compliance with these Terms, you may use the lead data accessed through your plan for your own internal sales, marketing, and research activities. You may not redistribute it as described in Section 5.

8. Data accuracy & warranties

CertLeads aggregates data from public sources and applies automated classification, validation, and enrichment. We make a good-faith effort to provide accurate, fresh, and useful data, but we make no warranty that any contact, address, classification, or other data point is accurate, current, complete, or valid for any particular purpose. Email addresses may be invalid; phone numbers may have changed; classifications may be wrong; the underlying business may have shut down or pivoted.

THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CERTLEADS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless CertLeads and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service, (b) your outreach to any business identified through the Service, (c) your breach of these Terms, or (d) your violation of any law or the rights of any third party.

11. DMCA & abuse reporting

If you believe content displayed on CertLeads infringes your copyright, send a notice meeting the requirements of the U.S. Digital Millennium Copyright Act (DMCA) to legal@certleads.com with subject line "DMCA Notice". Include: identification of the copyrighted work, identification of the allegedly infringing material with URL, your contact information, a statement of good-faith belief, a statement under penalty of perjury that you are authorized to act, and your physical or electronic signature.

For other abuse reports — spam complaints involving our customers, suspected fraud, harassment — email legal@certleads.com with the subject line "Abuse". We investigate every report.

If you are a business owner who wants your domain removed from CertLeads, please use /opt-out instead — it is the fastest path.

12. Termination

You may stop using the Service at any time and may close your account from your account settings. We may suspend or terminate your access immediately, with or without notice, if we reasonably believe you have violated these Terms, abused the Service, or created legal or reputational risk for CertLeads or its users.

On termination, your right to use the Service ends. Sections that by their nature should survive termination (including IP, data accuracy, liability, indemnification, and governing law) will survive.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

If you are a consumer in a jurisdiction whose law gives you the right to bring proceedings in your local courts, this section does not override that right.

14. Changes to these terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent change. For material changes, we will give account holders at least 14 days' advance notice by email and post a notice in the product. Your continued use of the Service after the change takes effect constitutes acceptance of the updated Terms.
